Terms of Service
The standing terms for working with Sampu Dynamics. A signed proposal for a specific engagement governs where it differs from these terms.

1. Who we are
Sampu Dynamics (Pty) Ltd (Registration No. 2026/423301/07) ("Sampu Dynamics", "we") is a South African engineering company. We build digital platforms, engineer operational processes, and assess technical systems for client organizations. 2. How engagements work
All services are delivered under a written proposal or agreement that states the deliverables, timeline, and price (see Pricing). Work begins once the proposal is accepted in writing and any agreed deposit is paid. If these terms and a signed proposal conflict, the proposal governs for that engagement.
Some engagements include building — and, during defined pilot phases, operating — software platforms on behalf of clients. Where such a platform accepts payments from its end users, those payments are processed through licensed third-party payment providers and are governed by the terms published on that platform.
3. Payment
- Prices are quoted and invoiced in South African Rand (ZAR).
- Invoices are payable by the due date stated on the invoice, by EFT or by card via Paystack.
- If an invoice is overdue, we may pause work after written notice until it is settled.
- Cancellations and refunds are handled under our Refund & Cancellation Policy.
4. Your responsibilities
Engagements depend on timely access to the people, systems, and information the scope names. Delays caused by missing access or feedback may shift the timeline; we will tell you in writing when that happens rather than let a deadline slip silently.
5. Intellectual property
On full payment for an engagement, ownership of the deliverables built for you under that engagement transfers to you. We retain ownership of our pre-existing tools, libraries, and general know-how, and grant you whatever licence to them the deliverables need to keep working. There is no proprietary lock-in: what we build for you is yours.
6. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the engagement. This survives the end of the engagement. Where a separate NDA is signed, the NDA governs.
7. Warranties and liability
We perform all services with reasonable professional skill and care. If a deliverable does not match its written scope, our first remedy is to fix it at no charge, as set out in the Refund & Cancellation Policy. To the extent permitted by law, our total liability under an engagement is limited to the fees paid for that engagement, and neither party is liable to the other for indirect or consequential loss. Nothing in these terms limits liability that cannot lawfully be limited, or any right you have under the Consumer Protection Act where it applies.
8. General
- These terms are governed by the laws of the Republic of South Africa.
- We may update these terms; the "Last updated" date above reflects the current version. Changes do not apply retroactively to engagements already in progress.
- If any part of these terms is found unenforceable, the rest remains in force.
